Terms and Conditions

These terms govern the use of websites operated by POWEX GmbH, Deinikon 13, 6340 Baar, Canton of Zug, Switzerland (UID CHE-146.472.717), including www.powex.swiss and www.powex.ch, and enquiries made through those sites.

1. Advisory work

POWEX GmbH provides independent information-technology services: software engineering, AI automation, architecture, product roles, and consulting. A mandate starts only with a written confirmation (email is sufficient). Until then, information on the website is descriptive and not an offer in the legal sense.

2. Independence

We are not bound to a single technology vendor or implementation partner. Recommendations may include commercial products, open-source software, or custom development. The client remains responsible for its own procurement decisions.

3. Fees and expenses

Fees, scope, and timeline are agreed per mandate. Unless stated otherwise, amounts are in Swiss francs and exclusive of VAT. Invoices are payable within 14 days.

4. Client materials

The client warrants that materials it provides may be used for the mandate. POWEX GmbH treats non-public client information as confidential.

5. Intellectual property

Pre-existing tools, methods, and the Webxellence product remain with POWEX GmbH. Work product created specifically for a client transfers as agreed in the mandate. Open-source components remain under their respective licences.

6. Liability

POWEX GmbH performs its work with professional care. Liability for slight negligence is excluded to the extent permitted by Swiss law. Liability for intent, gross negligence, and for personal injury remains unaffected. We are not liable for decisions the client takes on the basis of advice, nor for third-party systems outside our control.

7. Website

Content is provided without warranty of completeness. We may change pages at any time. Links to third-party sites are provided for convenience; we do not control those sites.

8. Applicable law

Swiss law applies, excluding conflict-of-law rules. The courts at the registered office of POWEX GmbH in the Canton of Zug have jurisdiction, subject to mandatory consumer venues.
